(Standard) Website & Video Branding or Design Agreement
When you choose to engage with StoryDiverPR for Web Design or any related "Add-on" or Video Services, this Agreement (“Agreement”) is made between ______You____ as__________________ (“Client”) and  _____StoryDiverPR_LLC____ (“Web Designer” or “Video Creator” “Company”) on __________ (date) to design and develop a website and/or (optional) video reels to the client’s specifications agreed beforehand.

1. Project Description:

The Web Designer/ Video Creator will provide the following services:
  • The design and development of a _________ page website with:
  • Reliable cloud-based web hosting with SSL Certificate for data encryption
  • A responsive, dynamic mobile website experience
  • Ability for Client to make their own updates to the site via easy-to-use content management system
  • Reasonable content updates made by Web Designer upon request
  • Access to in-depth, easy-to-understand Stats
  • Basic SEO (Search Engine Optimization) to aid the website in showing up in local search engine queries
  • Ongoing compatibility with all other devices, operating systems, computers, tablets, mobile phones, and browsers (minimizing the need to reinvest in the site’s infrastructure as technology changes)
  • Periodic check-in calls upon request to analyze & discuss website marketing strategies
  • Phone & email support

2. Cost and Payment:

The Parties agree to the following payment terms stipulated in your personal contract based on the scope of work and level of customizaton you require. Terms shall be understood in the following format:

First Monthly Service fee is due on: ____________(monthly billing date)

The Website cost includes up to 5 pages.  Any additional web pages for the website will be charged at $______ per additional page, as a one-time production fee. The website cost includes up to ______ images of 100% fully licensed stock photography.  Client may opt to incorporate images of their own and fully warrants they have ownership rights or have licensed the copyright with full permissions to publish and use said images.  Any additional costs in terms of website page-count, stock image(s), or video content shall be fully paid in advance before work begins.

3. Third Party Content: If Client wishes to use any visual (photography/ video/ audio or AI) or other content that is not their own, it is recommended that Client duly source and license their images / video content from a reputable third-party provider. Client is responsible for all costs associated with licensing and may follow Web Designer’s expertise and advisement on where to source images by opening an account or may choose to let Web Designer/ Video Creator source images for them with associated costs.

4.  Delivery & Timeframe for Scope of Work:  How We Wrap Up Your Project
Once we shake hands on the deal and your setup fee is received, we get to work. Your finished website will be ready for review within 7 to 14 business days — we'll confirm the exact timeline at the start based on what your project involves.
The Final Walk-Through: When your site is complete, we'll schedule a 30-minute Final Walk-Through call together. Think of this as the official finish line for your project — it's your dedicated time to go through everything we built, page by page, and tell us exactly what you want refined before we call it done.
During this call you can request any last-minute text tweaks, image swaps, layout adjustments, or copy changes at no additional charge. We'll take careful notes on everything you want adjusted and get to work on them right away. If you also need add-on work like video editing or additional content, we'll give you a separate timeline for those pieces.
After the Walk-Through Once we've made all your requested changes, we'll send you an email confirming that your project is complete and live. That email is the official handoff — your site is yours.
From that point forward, any updates, changes, or additions to your site fall under your chosen monthly maintenance plan. Your plan outlines exactly how many changes are included each month and how we handle anything beyond that. If you don't respond to the completion email within five business days, we'll consider the project accepted and finalized as delivered.
One thing worth knowing: The Final Walk-Through is your best opportunity to get everything exactly right at no extra cost. We want to make sure you're genuinely proud of what goes live — so come to that call with a fresh set of eyes and don't hold back.
A Note on Collaboration requirements: StoryDiverPR attempts to deliver a completed website design within 7 to 14 business days or sooner when possible. In order to avoid production bottlenecks and unnecessary delay of incorporating any customized content, it is imperative for client to facilitate any chosen images/video/ audio content they wish to be included in their website design in a timely manner before the scheduled “Final Walk-through” meeting.

If client neglects to provide any desired content agreed to between parties in a timely manner within this 14-day window, Web Designer or Video Creator will make best efforts to accommodate incorporating such content when delivered. Failure of client to deliver said content in a timely manner, however, shall in no instance constitute a breach of agreed scope of work and web design project shall be deemed complete when delivered within the 14-day window with any stock or substitute content required to finish the project. For projects that entail higher customized production work in software coding or video editing, timelines may vary depending on scope of project, and will be stipulated in communication before project begins.

Many companies take as long as 90 days for completion of web design, but StoryDiverPR Web Design will keep Client informed at all times if any extenuating circumstances cause the project timeframe to be extended beyond the 14 business days or a discretionary timeframe to be agreed between both parties. Inability to meet deadlines or a mutually agreed Final Walk-through date appointment scheduled (due to any extenuating circumstance outside of Web Designer’s area of responsibility) shall in no way constitute failure to meet the stipulated timeframe or invalidate the terms of agreement.  Web designer will at all times keep client up-to-date of the work to be performed and expected timeline for completion. No additional work will be done without client’s authorized permission that shall be made in writing and by facilitating timely payment before work begins.

5. Logo Design (optional): In the event client wishes to contract Logo design as an “Add-on” service from StoryDiverPR, our original logo process takes about 1 week and costs only $___________. Client will inform us the name of their brand, and if there are any precise colors, images or icons they would like to see in the design. StoryDiverPR will provide 3 initial design concepts for you to choose from. Client will indicate preferred design that may be followed by up to 2 rounds of revisions. (Any additional 3 concepts with subsequent 2 revisions will be billed at rate of $299.) Client will retain 100% full copyright of the original image design to use in perpetuity.

6. Video (optional) Video Reel(s) or Narrative Scripting (Customized Script work) or Editing may be purchased if desired from StoryDiverPR as an “Add-on” service for a minimum length of __30-60___ seconds as a one-time fee for the agreed price of $___________ and $____________ for each additional minute of video or video scripting/editing. Video reels will/may include SD/HD licensed stock footage an AI generated voiceover unless original footage & audio is provided by client. Client may opt to incorporate footage of video content of their own (including music and/ or voiceover content) and fully warrants they have they own or have licensed the copyright with full right to publish and use said Video / Music / or Voiceover/ Audio content.  Client warrants that Web designer is not liable and is fully indemnified by them or from any third-party claims or breach of copyright as pertains to any such content provided by Client. If Video, Customized Scriptwork or Video Editing is not a part of this Agreement, the pricing for this clause (5) shall be left intentionally “blank.” Client may choose the option to procure any of the above video service(s) from StoryDiverPR at a later date under a separate Agreement.

7. Add-on Services: In addition to Web Design services client chooses to contract the following “Add-on” service(s) _______________________________________  as a one-time fee of _____________ that shall be separately invoiced. If no Add-on service is contracted at this time, this line in clause 5 and/or 6 is intentionally left “blank.”

Client is under no obligation but is at liberty to engage in with StoryDiverPR for “Add-on” services such as Video work, Logo design, installation of Chat features for their website or other marketing services in the future as may be agreed to by both parties at a later date. Client understands that all “Add-on” services such as video pricing will be agreed and paid for in full or (in some cases with a minimum 50% deposit in advance and the remaining 50% upon video project completion).  Client understands that the any compensation for “Add-on” services such as Video or Logo services, etc. is a separate cost from Website design and will be billed separately by individual invoice.  Payment for Web Design services is not applied to compensation for video or logo service. Nor shall payment for video services or any “Add-on” services constitute payment for Web Design or Logo Services, or any maintenance fee, as compensation for each service shall run independently of each other.

8. Your Monthly Maintenance Plan, Terms & Scope:
Every website we build requires an active monthly maintenance plan of your choosing as stated in costs of Section 2 above. This isn't just a hosting fee — it covers everything that keeps your site secure, fast, and working properly behind the scenes: cloud hosting, your SSL security certificate, and full optimization across desktop, tablet, and mobile devices. Think of it as the foundation that keeps your online presence running without you having to think about it.
You may choose one of three plans upon starting, and you can upgrade anytime.
Essential — $49/month. With our minimum “Essential” plan, you get a monthly report showing how your website is performing — traffic, visitors, and search activity — plus up to five content updates per month made by our designer. Need to swap a photo, update your hours, or tweak some text? Just send us a message and we handle it. If you need more than five changes in a given month, we'll do our best to accommodate or carry them into the next cycle.
Growth — $99/month You get daily performance reporting so you can see what's happening on your site in real time, plus up to ten content updates per month handled by our designer. If you regularly need more than ten changes, we'll either work with you to prioritize the most important ones or give you the ability to make certain text and image updates yourself through a simple login — no technical knowledge required.
Premium — $149/month You get daily performance reporting, unlimited content updates handled by our designer, and active reputation management — which means we monitor your online reviews, alert you when new ones come in, and coach you on how to respond to keep your reputation working for you. If your business needs frequent daily or weekly updates, we may set you up with your own content access so changes can happen instantly without waiting on us.
One thing that applies to all plans: Monthly fees keep your site live, secure, and maintained. If your plan lapses, hosting and services will be suspended until the account is brought current. You can cancel future billing anytime in writing — we just ask for notice before your next billing date.
Additional services including new page builds, video integration, custom copywriting, and SEO content packages are available outside of the monthly maintenance scope and will be quoted separately upon request. (See Section 7.)
9.  Our Refund Policy — What You Should Know:
All fees paid to StoryDiver PR ("Company" or “Web designer”/ “Video Creator”) for website design, setup, and related content services are non-refundable once work has commenced. Work is deemed to have commenced upon receipt of the setup fee and written or verbal confirmation of project initiation.
Once your project kicks off and payment is received, we get to work immediately — design, setup, hosting, copywriting — all of it is put in motion for your specific business. For that reason, setup fees are non-refundable once work has begun.
For monthly plans, you can cancel anytime in writing and you won't be charged beyond your current month. We don't lock you into long-term contracts.
That said, we're human. If something goes seriously wrong on our end — a service we promised wasn't delivered, a technical failure we caused, or a genuine emergency on your side — reach out within 14 days and we'll have an honest conversation about making it right. Refunds in those cases are handled individually and at our discretion.
We stand behind our work. Our goal is never to keep money for a job you're not happy with — but we also can't refund time and resources already invested in your project.
10. Confidentiality

During the course of this Agreement, it may be necessary for Client to share proprietary information, including trade secrets, industry knowledge, and other confidential information to Web Designer in order for Web Designer to complete the Website in its final form. Web Designer will not share any of this proprietary information at any time, even after the Agreement is fulfilled. Web Designer also will not use any of this proprietary information for his/her personal benefit at any time, even after the Agreement is fulfilled.

11. Intellectual Property

The Client guarantees that they have rights to all elements of Text, Photographs and/or Video/ Audio or and any other content that they provide the Web Designer with, and will not hold the Web Designer responsible for any third-party claims including copyright infringements.  The Client will guarantee that they have legal rights to all elements related to the services they are providing and will not hold the Web Designer/ Video Creator responsible for any third-party claims.

12. Copyright Notice:
A copyright notice will be displayed on the bottom of each page of the website.

13. Limitation of Liability

Under no circumstances shall either party be liable for the other party or any third party for any damages resulting from any part of this Agreement such as, but not limited to, loss of revenue or anticipated profit or lost business, costs of delay or failure of delivery.

14. Marketing and Promotion:

From time to time, StoryDiverPR may use and will have a non-exclusive right to use any design or video material prepared for client for purposes of advertising, publishing and promoting web designer and video creator’s services. Client may request not to allow any design work on their behalf be used in such promotional material by submitting their request in writing.

15. Termination of Agreement

This Agreement will automatically terminate when both Parties have performed all their obligations under the Agreement, and all payments have been made. Should there be a desire to terminate the Agreement before the completion of the project, the Client will notify the Web Designer ___14___ days in advance and pay for services already completed or provided.

16. Termination on Default
If either party defaults by failing to perform as described in this document including failure to make payment when due, the other party may terminate this Agreement by providing written notice to the defaulting party of the default. The party in default shall have 14 days to cure the default. Failure to cure the default will result in termination of the Agreement.

17. Disclaimer of Warranties
Web Designer shall create a website for Client’s purposes and to Client’s specifications. Designer does not represent or warrant that said website will create any additional profits, sales, exposure, brand recognition, or the like. Designer has no responsibility to client if the website does not lead to client’s desired result(s).
18.  Entirety of Agreement -- This Agreement, as well as the Terms and Conditions document posted on Web Designer’s website, contains the entire understanding between and among the parties and supersedes any prior understandings and agreements among them respecting the subject matter of this Agreement. Any modifications to this Agreement must be approved in writing and signed by both parties in order for them to be valid.

19.  Savings Clause -- If any provision of this Agreement, or the application of such provision to any person or circumstance, shall be held invalid, the remainder of this Agreement, or the application of such provision as to persons or circumstances other than those as to which it is held invalid, shall not be affected thereby.

20. Governing Law / Forum
This Agreement shall be construed in accordance with the laws of the State of New York and should any claim or controversy arise, it shall be resolved in the courts of New York state.

21. Change in Project Scope:
If Client requests changes beyond the original agreed-upon scope of web design or video work, where possible, Web Designer will use its best efforts to implement minor changes in good faith at no additional expense to the Client at Web Designer’s sole discretion. However, Client understands that any changes to the original scope of work may require that the Web Designer assign additional fees to them as specified in aforementioned Clause 2, which the Client may first review. Changes in Project Scope may also affect project completion date.
